The contract between you and Auto Alpha Advisory (Pty) Ltd.

1. Parties and entity

Auto Alpha Advisory (Pty) Ltd is a private company registered in South Africa under registration number 2025/213512/07, with its principal place of business in Cape Town, South Africa. Its sole director and Information Officer is Matt Owen, CA(SA). Auto Alpha Advisory (Pty) Ltd is not a registered VAT vendor; no value-added tax is charged on its fees, and all prices are shown as flat amounts in South African Rand.

2. What this website offers, and how paid work is contracted

Through this website, Auto Alpha Advisory (Pty) Ltd provides, free of charge:

• A free website scan — an automated score of a website you nominate, across nine domains, delivered on-page and by email; and
• Free resources — guides and other materials you can read or request.

Paid work is contracted separately. The Full Read, investor due diligence, advisory, build and implementation work are sold by enquiry only. Each is contracted under a written engagement letter or statement of work that you sign or accept in writing, and no paid work begins until those terms are agreed. Those terms govern the paid work. Nothing on this website is an offer to supply paid work, and prices shown here are indicative until they are confirmed in writing.

Reports bought before 28 September 2026. The self-serve audit report that was sold through this website has been retired. A report bought before 28 September 2026 remains governed by the version of these Terms that applied when you bought it, including its money-back guarantee.

3. The free scan

To request a scan you must be at least 18, give a valid email address, and be entitled to have the website you nominate assessed (for example because you own or run it, or its owner has asked you to). If you request a scan for a company or other entity, you confirm that you may act for it.

The scan reads what is publicly available on the nominated website, and data from third-party sources and APIs, at the time of the scan. We do not control, endorse or warrant the accuracy of any third-party data. There is no charge for the scan.

4. Acceptable use

You agree not to:

• Use this website or the scan in a manner intended to harm, mislead, or infringe the rights of third parties;
• Submit bulk or automated requests, or otherwise abuse the website infrastructure, in a manner that increases our operating costs disproportionately;
• Request a scan of a website you are not entitled to have assessed;
• Attempt to reverse-engineer, scrape, or copy the Service’s proprietary methodology, scoring, or audit logic;
• Use the Service for any purpose that violates applicable law, including the Electronic Communications and Transactions Act, 2002, the Consumer Protection Act, 2008, or POPIA; or
• Impersonate another company or individual.

We may decline, suspend, or stop providing the Service to you if we have reasonable grounds to believe you have breached this section.

5. Data ownership and intellectual property

5.1 Your data and your scan result

You retain ownership of the information you submit (the website address and your contact details). The scan result is licensed to you for your own business use; you may share it internally and with your advisers, subject to Section 6. We process the data you submit to produce and deliver the scan, as our Privacy Policy describes.

5.2 Our intellectual property

Auto Alpha Advisory (Pty) Ltd retains all rights in: (a) the audit methodology and scoring logic; (b) the audit engine and its underlying code; (c) the report format and design system; and (d) this website and all underlying code.

5.3 Aggregate analytics

We may use de-identified, aggregated data across scans to improve the Service and to publish industry-level insights. Your individual data is never published or shared in identifiable form.

6. What the results are, and who may rely on them

The scan and the free resources support your decisions. They are not legal, tax, accounting, investment or other professional advice, and not an audit or an assurance engagement. We do not promise any particular score, ranking or outcome. A scan result depends on the website and third-party data as they stood when we read them.

Check a result, yourself or with your own adviser, before you act on it or publish anything on the strength of it. Your decisions and publications remain your responsibility.

A scan result is prepared for you alone. No other person may rely on it, and Auto Alpha Advisory (Pty) Ltd and its directors, employees and contractors owe no duty of care to any other person in connection with it. If you share a result, you share it for information only, and you must not tell the recipient that they may rely on it.

Apart from what these Terms say, the Service is provided “as is” and “as available”, without any other warranty, express or implied, including that it will be error-free or uninterrupted. Nothing in this section excludes a warranty or right you have under the Consumer Protection Act, 2008 that cannot be excluded.

7. Limits on our liability

Losses we do not cover. Auto Alpha Advisory (Pty) Ltd and its directors, employees and contractors are not liable to you for:

1. indirect or consequential loss;
2. loss of profit, revenue, business, goodwill or anticipated savings, or reputational harm;
3. any fine, penalty, interest, administrative sanction or levy imposed on you by any regulator or authority, or any amount you pay to settle one;
4. loss to the extent it arises from your not checking a result as Section 6 asks.

The cap. Our total liability to you for all claims arising out of or in connection with these Terms or the Service, together, whether the claim is in contract, in delict (including negligence), under statute or otherwise, is limited to the greater of (a) the fees paid or payable by you to us in the 12 months before the event giving rise to the first claim, and (b) R50,000. That is one amount shared by Auto Alpha Advisory (Pty) Ltd and its directors, employees and contractors, not one amount each.

What these Terms do not limit. Nothing in these Terms excludes or limits:

1. liability for fraud or dishonesty;
2. liability for wilful misconduct;
3. where the Consumer Protection Act 68 of 2008 applies, liability for loss attributable to our gross negligence or that of anyone acting for or controlled by us;
4. otherwise, liability for gross negligence to the extent the law does not allow it to be limited;
5. any right you have under the Consumer Protection Act or the Electronic Communications and Transactions Act 25 of 2002 that cannot be waived, or any other liability the law does not allow us to limit.

Saving. If any part of this section cannot be enforced against you, that part applies to the fullest extent the law allows, and the rest of these Terms continues to apply.

Claims lie against the company. You agree to bring any claim arising out of or in connection with the Service against Auto Alpha Advisory (Pty) Ltd only, and not against any of its directors, employees or contractors personally, except in the case of their fraud. The exclusions, the cap and the saving above are for the benefit of those directors, employees and contractors as well as the company, and each of them may rely on them.

8. Your indemnity

You indemnify Auto Alpha Advisory (Pty) Ltd and its directors, employees and contractors against any claim by a third party, and the loss, damages and reasonable legal costs that follow from it, to the extent it arises from:

1. your breach of these Terms;
2. a website you asked us to scan that you were not entitled to have assessed;
3. information or material you gave us that infringes another person’s rights; or
4. your publication or other use of a scan result, including anything you publish about another business.

This indemnity does not apply to the extent the loss was caused by our fraud, wilful misconduct, gross negligence or breach of these Terms. We will tell you promptly of any claim it covers and will not settle that claim without your consent, which you will not unreasonably withhold.

9. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising from or in connection with these Terms will first be referred to good-faith negotiation by email to hello@autoalphaadvisory.co.za. If not resolved within 30 calendar days, either party may refer the matter to the Western Cape High Court, Cape Town, whose jurisdiction both parties submit to. Nothing in this clause prevents either party from seeking urgent interim relief from any court of competent jurisdiction.

The Consumer Protection Act, 2008 and POPIA apply to the extent required by law and are not excluded by these Terms.

10. Changes to these Terms

We may change these Terms by publishing a new version on this page. The “Last updated” date at the top shows the current version, and a change applies to your use of the Service after that date. Changes to the terms of paid work are made only as your engagement letter or statement of work provides.

11. Entire agreement

These Terms, with our Privacy Policy, are the whole agreement between you and us about the Service. This does not limit liability for a fraudulent misrepresentation, and it is not an acknowledgement that no representations were made to you before you agreed.
